American Express Global Business Travel (Amex GBT), operated by Global Business Travel Group, Inc. (NYSE: GBTG), has announced a significant step forward in its proposed acquisition of CWT, a global business travel and solutions provider. The UK’s Competition and Markets Authority (CMA) has provisionally concluded that the deal does not raise competition concerns. The CMA’s final decision is expected by March 9, 2025.
However, the company continues to face legal challenges in the U.S. The Antitrust Division of the U.S. Department of Justice (DOJ) filed a lawsuit in January 2025 seeking to block the transaction. Amex GBT is actively defending itself against the lawsuit, which it claims is based on a narrow and outdated view of the competitive landscape.
Eric J. Bock, Chief Legal Officer and Global Head of M&A at Amex GBT, commented on the CMA’s provisional findings, stating, “This is an important milestone in completing the transaction. The CMA’s updated conclusions support our belief that the DOJ’s lawsuit is fundamentally flawed. It ignores the rise of new and significant competitors in the business travel industry.”
Paul Abbott, CEO of Amex GBT, emphasized the potential benefits of the acquisition. “If approved, this deal will drive investment and innovation in business travel, offering more choice and value for customers and suppliers. It will also create new opportunities for CWT employees,” he said.
The acquisition was first announced on March 25, 2024, and remains subject to customary closing conditions, including regulatory approvals.
